Regulations of the "Happy Cells" loyalty program and promotional initiatives for free products and discount vouchers

This regulation governs participation in the loyalty program called "CELLULE FELICI" promoted and managed by Skinius Srl in the person of its legal representative Mariagrazia Boniardi, VAT number IT06025670966, with registered office in via Durini n. 14 Milan (hereinafter, the "Owner").

All participants in the CELLULE FELICI loyalty program can consult this regulation on the website www.skinius.it. This Regulation will also be kept in original at the registered office in via Durini n. 14, Milan.

ABBREVIATIONS

To facilitate the reading of this Regulation, the following abbreviations will be used:

· CELLULE FELICI loyalty program regulation is “Regulation”

· CELLULE FELICI loyalty program is “Program”

· CELLULE FELICI program participants are “Participants”

· SKINIUS SRL is “SKINIUS” (Promoter)

· Website www.skinius.it is “Site”

1. PARTICIPATION - SUBJECTS

The beneficiaries of this Program are all buyers of Skinius products on the website www.skinius.it or at physical Skinius retailers, as better identified in art. 3 of this Regulation.
The site's sales conditions are fully reported here, for the purpose of qualifying purchases and their dynamics.
Only customers represented by natural persons can take part in the Program. Purchases by professional users with a VAT number (resellers) are excluded.

Participation in the Program requires registration on the website www.skinius.it, by creating a personal account. To this end, the Participant must access the site following the instructions of the Shopify platform.

If the Participant wishes to take advantage of the promotions available at participating physical retailers, they can do so directly, without the need to register or create an account on the site.
In this case, however, the Participant will only be able to access promotional initiatives provided in physical stores (such as, for example, free gifts or discount vouchers), without the possibility of accumulating points or joining the active online loyalty program.

The same Participant is not allowed to register multiple Accounts. Each Participant, therefore, can only have one Account on the Site.

The points accumulated by the Participant, in their Account, cannot in any case be transferred to third parties and/or transferred to other Accounts different from the one used for the collection.

2. PURPOSE OF THE PROGRAM AND TERRITORIAL SCOPE

The loyalty Program aims to reward customers who make purchases on the Website www.skinius.it allowing them to accumulate loyalty points to be converted into exclusive benefits, such as free products and/or discount vouchers issued at the time of purchase of Skinius products. The operating methods of the Program and the criteria for accumulating and using points are governed by the following articles.

This Regulation and this prize operation are valid throughout the Italian national territory, including participating physical retailers of Skinius products, and in the e-commerce coverage area of the website www.skinius.it.

3. PRIZES

The prizes will be indicated in this Regulation and in the dedicated section of the website www.skinius.it. The following may be provided:

- Free gifts upon purchase of products (e.g. accessories, gadgets, products, etc.), which will be delivered immediately at the time of purchase of products on the website www.skinius.it; the prize pool (pursuant to Art. 7 paragraph 1 letter b) of Presidential Decree 430/2001), does not require a security deposit as the prize is paid at the time of participation and access to the mechanics.

- Free gifts/gadgets at participating physical retailers which will be delivered immediately upon purchase of one or more defined Skinius products or upon reaching a specified spending threshold from time to time on this site and at authorized physical retailers. The updated list of authorized physical retailers can be consulted on the website https://store.skinius.it/. This operation will not, however, involve participation in the loyalty program and point accumulation mechanics since point accumulation is only valid for orders and purchases made online on the website www.skinius.it. The prize pool (pursuant to Art. 7 paragraph 1 letter b) of Presidential Decree 430/2001), does not require a security deposit as the prize is paid at the time of participation and access to the mechanics.

- Purchase Vouchers/Discounts usable according to the methods provided by the Program for the purchase of Skinius products on the website www.skinius.it. The Vouchers will be issued at the time of purchase of Skinius products and must be used on a subsequent expenditure on the website www.skinius.it. The prize nature of this initiative is therefore excluded.

The Prizes referred to in the points above cannot be replaced or refunded, nor converted into cash or into different prizes even of lower value, and must be used in the manner and within the time limits communicated.

If the promised prizes undergo substantial changes or are no longer available/marketed by the producer or supplier, the Promoter undertakes to deliver a prize of equal or greater value, with equivalent characteristics and performance.

The images and settings used in promotional communication are for illustrative purposes only.

4. PROGRAM DURATION

The "Cellule Felici" loyalty program and the aforementioned prize operations begin on September 1, 2025, and will end on August 31, 2030, by which date Participants can accumulate points; this Regulation will remain valid until the same deadline and, beyond that term, will no longer be effective.

Points accumulated during the prize operation on the website www.skinius.it can be used by August 31, 2030.

After this date, points will be reset and it will no longer be possible to request their credit and/or redemption. 

To check the amount of expiring points, the Participant can access their reserved area and check the total accumulated points. 

Any extensions or modifications will be promptly indicated in the Program Regulation, updated and available on the Website www.skinius.it.

5. MEMBERSHIP CONDITIONS

Membership in the Loyalty Program is individual, free, and exclusively reserved for customers registered on the website www.skinius.it, as indicated in art. 1 of this Regulation.

Registration for the Program takes place as provided by Art. 1 of this Regulation.

Membership implies full acceptance of this Regulation, without any reservation.

Membership in prize operations that take place at authorized physical retailers does not require any registration method, as provided by Art. 1 of this Regulation, it being necessary and sufficient for the Participant to purchase products or spend a certain spending threshold specified from time to time, to obtain the relative immediate prize.

6. POINT ACCUMULATION METHODS AND THRESHOLD

a. Purchase of Products on the website www.skinius.it

Participants in the Program can accumulate points by purchasing products on the www.skinius.it website, with an accreditation of 1 point for every euro actually spent, net of discounts, promotions, and shipping costs. Points will be assigned after each successful order, and the balance will be visible in the personal profile within 72 working hours. The prizes linked to the "Cellule Felici" loyalty program are managed through the Smile.io application integrated into the Shopify platform. The Participant can redeem prizes directly from their personal area according to the functionalities provided by the application.

Adding products to the cart may also entitle the participant to a prize (discounts, gadgets or other incentives) issued at the time of purchase. The prize is automatically added to the cart without the need for further action by the customer, provided a minimum spending threshold is reached. The free gadget will be indicated on the website from time to time through a progress bar on the cart page or through communication via banner or other sections of the website.

b. Purchase of Products from physical retailers

The purchase of products from participating physical retailers will entitle you to a prize (free gifts or gadgets).
The prize is automatically issued at the time of purchase, without the need for further action by the customer, subject to reaching a minimum spending threshold or purchasing specific products. The free gadget will be indicated from time to time at retailers and on the website ww.skinius.it. The purchase of products from participating physical retailers will not entitle you to any point accumulation or participation in the "Cellule Felici" Program.

c. Further activities on the website www.skinius.it

In addition to purchases, participants can accumulate points through the following activities, aimed at encouraging the purchase of products:

  • Creation of an account on www.skinius.it, which will entitle you to 10 points.
  • Reaching certain spending thresholds (excluding shipping costs and discounts). This bonus can only be obtained once a year.
  • Newsletter subscription, which will entitle you to 10 points.
  • Writing a review of a purchased product, which will entitle you to 15 points per review, with a maximum of 1 review per product.
  • Celebrating your birthday: which will entitle you to a 10% discount on the entire site and 10 points.
  • Mechanisms such as following the official Instagram account and following the official TikTok account will entitle you to a total of 10 points.

Points derived from each activity and purchase will be credited to the Participant's profile at the time the activity is completed.

d. Referral Program on the website www.skinius.it

Participants can accumulate points by inviting friends to join the program via a referral link, also via social media/email (e.g., Smile.io Panel). For each friend who registers and completes a first purchase, the Participant will receive 15 points. The invited friend will receive a 10% discount on the first product purchase, not combinable with other promotional initiatives unless otherwise communicated. The friend must not already be registered, and the incentive can only be used once.

e. VIP Program on the website www.skinius.it

Skinius may provide, within specific promotional initiatives, the assignment of extra points or other benefits (e.g. gadgets, free gifts) to Participants who reach predetermined spending thresholds or points. The details relating to these initiatives (criteria, prizes and temporal validity) will be communicated in the Participant area and/or through specific promotional communication, as well as within this Regulation.

f. Opinion/content collection and discount voucher issuance on the www.skinius.it website

Within the "Cellule Felici" Program and this Regulation, digital initiatives reserved for registered users are activated, aimed at collecting opinions, preferences, and data voluntarily provided by the Participant through the completion of questionnaires.

A discount voucher worth €5.00, to be used on the website www.skinius.it, is immediately available to users who fully complete a digital questionnaire consisting of questions marked as mandatory for the purpose of issuing the aforementioned prize. Participation in the initiative is optional and does not in any way affect the possibility of browsing or purchasing on the site or participating in other initiatives and prize events.

The Participant may freely decide whether to give their consent to the use of data and content collected within this initiative (e.g. opinions, images, photographs, etc.) for profiling or communication purposes, by selecting the appropriate explicit consent checkbox at the end of the questionnaire.

g. Validity of Points and Discount Vouchers on the website www.skinius.it

Accumulated points can only be redeemed at the time of purchase, by simultaneous conversion into free products and/or discount vouchers applicable to the current order on the website www.skinius.it. Redemption will take place in a single solution simultaneously with use and deferred or subsequent use will not be allowed. These vouchers can be combined with other active promotions, unless otherwise indicated.

Pursuant to Circular no. 311/E of 11 December 1997, it is specified that the prizes that are the subject of this initiative (free products and/or discount vouchers) are issued simultaneously with the purchase, guaranteeing immediate use by the Participant. In this sense, the operation is comparable to a mere offer of immediate discounts, with consequent exclusion of the prize nature of the initiative and, therefore, of the related obligation to provide the security deposit provided for by art. 7 of Presidential Decree no. 430/2001.

7. MODIFICATIONS, SUSPENSION AND TERMINATION OF THE REGULATION

Skinius reserves the right to add, modify or integrate any activities comprising the Program and prize operations, giving prior notice to Participants registered in the Program via email/banner on the website www.skinius.it/own account and to Participants in prize operations at authorized physical retailers, in compliance with the rights acquired by the Participant.

Skinius reserves the right to suspend or terminate, in whole or in part, the loyalty program at any time, for just cause, after communicating this to the Participants through communication on the Website and at authorized physical retailers.
In case of definitive termination of the Program, any points already accrued by the Participant may be used within the term that will be indicated in the termination communication. The suspension or termination of the Program will not give rise to any type of claim or compensation in favor of the Participant.

8. EXCLUSIONS AND LIMITATIONS

It is not possible to accumulate points on purchases made with discount vouchers or gift cards or at authorized physical retailers.

Cancelled or refunded orders result in the revocation of points accrued on such purchases.

The Owner reserves the right to exclude from the Program users who make improper or fraudulent use of their account or the www.skinius.it website.

9. MEANS OF COMMUNICATION

For any questions or complaints, for cancellation requests, and for all information regarding the Program and prize operations, all participants can contact the dedicated customer service by writing to customerservice@skinius.it. Any request, claim, or dispute relating to this loyalty program must be sent to customer service immediately, or in any case no later than 48 hours from the event that caused it.

The Program Regulation will be available on the www.skinius.it website for the entire duration of the initiative and can be requested via email at customerservice@skinius.it.

This regulation, in its original version, is kept at Skinius Srl - VAT no. IT06025670966  with registered office in Via Durini, 14 Milan - www.skinius.it.

10. PRIZE DELIVERY

Skinius will deliver the Prize to the eligible Participants at the address indicated by them during the purchase of the Products and simultaneously with the delivery of the products purchased on the website www.skinius.it.
In the case of purchase at authorized physical retailers, the prize will be issued and delivered at the time of purchase. In this way, the mechanics of the prize operation are considered completed.

If the Participant does not exercise the rights provided by this Regulation within the terms established by the relevant participation methods, Skinius cannot be held responsible for any consequences, damages, or losses deriving from such non-exercise.

Prizes are awarded free of charge to eligible participants, in accordance with the nature of the prize promotion, and ordinary shipping costs, necessary for delivery, are borne by the Promoter within the national territory. Any international shipping costs or customs duties will be borne by the Participant.

11. REGULATORY COMPLIANCE

This prize promotion is conducted in compliance with Presidential Decree no. 430 of 26 October 2001 and according to the instructions set out in Circular no. 1/AMTC of 28 March by the Ministry of Economic Development.

Pursuant to Article 7 letter b) of Presidential Decree no. 430 of 26 October 2001, in relation to this loyalty program and prize promotions, no security is required as prizes are always awarded simultaneously with the Participant's purchase, or in a single solution and without any temporal delay compared to the conclusion of the promotional operation.

Limited to the initiatives provided for by Presidential Decree no. 430 of 26 October 2001, Article 6, paragraph 1, letters c) and c bis), and by Circular no. 311/E of 11 December 1997 of the former Ministry of Finance, the Program is not subject to the regulations for prize promotions referred to in the aforementioned Decree, as its promotional nature is excluded.

12.  REGULATIONS STORAGE

These Regulations, drafted and self-certified with a substitute declaration in lieu of an affidavit made by the legal representative pursuant to Article 10, paragraph 3 of Presidential Decree 430/2001, are stored at the headquarters of Skinius S.r.l., VAT number IT06025670966, with registered office in via Durini n. 14, Milan, for the entire duration of the event and for twelve months following its conclusion.

13. APPLICABLE LAW

Italian law is applicable. For any dispute concerning the validity, interpretation, execution and resolution of these Regulations, the Court of Milan shall have exclusive jurisdiction.

14. PRIVACY POLICY PURSUANT TO REGULATION (EU) 2016/679 (GDPR)

The operation is carried out by the Data Controller in compliance with Regulation (EU) 2016/679. The voluntarily provided personal data will be processed by Skinius S.r.l., in the person of its legal representative Mariagrazia Boniardi, VAT number IT06025670966, with registered office in via Durini n. 14, Milan (hereinafter, the “Controller”), for the fulfillment of all phases connected to the operation.

The data will be processed for the management of the "Cellule Felici" Loyalty Program, as well as for the attribution of benefits strictly connected to the aforementioned program, and to fulfill administrative or other obligations imposed by current legislation, both national and European Union, and will be retained for the period provided by such provisions.

The provision of data is mandatory for the purposes indicated above; failure to provide it will make it impossible to manage participation in the prize event and to comply with legal obligations.

The storage of data for purposes related to the management of the operation will be limited to the duration of the individual phases of the initiative and in any case according to the applicable legislation.

Subject to specific consent, the data may also be used for direct marketing purposes, such as:

  • sending advertising material, free gifts, free samples;
  • promotional communications relating to products similar to those purchased;
  • carrying out market research;
  • analysis of purchasing and consumption habits, including through the creation of customer profiles;
  • profiling of the Participant for the purpose of personalizing the browsing experience and promotional offers;
  • sending informative and promotional newsletters.

Such communications may occur through automated tools (e.g., e-mail, SMS, instant messaging systems, automated calls) and/or traditional methods (paper mail, calls with an operator).

In the context of the "Cellule Felici" Program, the Participant may participate in initiatives that involve interaction with third-party platforms and services (e.g., social networks, review systems, referral platforms). In particular, some activities such as inviting friends via personalized link ("referral"), publishing reviews, sharing on social media (e.g., Facebook, Instagram, TikTok, X) or recognizing rewards for actions performed online, may involve the processing of personal data by third parties, independent data controllers.

The Participant is invited to consult the respective privacy policies of such third parties (e.g., Meta, TikTok, X, Judge.me, Smile.io) before taking the requested action.

These activities may, with prior consent, also include automated data evaluation for commercial profiling purposes, with the aim of offering personalized content, prizes or promotions based on the Participant's behavior (e.g., previous purchases, interactions, expressed preferences). In any case, such profiling will not produce legal effects or significant impacts for the data subject, pursuant to Article 22 GDPR.

Pursuant to Articles 15-21 of the GDPR, it is possible to exercise the following rights at any time:

  • access,
  • rectification,
  • erasure,
  • restriction of processing,
  • objection for legitimate reasons,
  • data portability,

by communicating it explicitly to the Controller at the postal address indicated above or via e-mail to privacy@skinius.it.

In case of withdrawal of consent, which may be exercised at any time, the lawfulness of the processing carried out prior to the withdrawal, based on the consent itself or on other legal bases provided for by law, remains unaffected.
